Medlink Georgia Photo and Video Contract

The Contract is made effective as of by and between Medlink Georgia and Versatile Impact, LLC (DBA Lewis Media)

Description of Service: Versatile Impact, LLC will provide Medlink Georgia:

Video and photo content for Medlink Georgia

Up to 30 sec to 3 min video reel (By verbal agreement, video content can go longer than 3 min)
The capacity of photo content will be determined by each project
- For example: If you have 20 employees that are needing headshot photos at one location, you will receive 20 images (one headshot per employee) + 10 to 20 candid shots of the employee working if needed.
Up to 3 day per month to capture photo and/or video content
Up to 6 hours each day to capture photo and/or video content

Editing process for video and photo content usually takes 3 to 14 days depending on the project.

Performance of Services: Versatile Impact, LLC, will provide adequate coverage for Medlink Georgia’s video and photo and will produce our highest quality video and photo package for Medlink Georgia. Versatile Impact, LLC will deliver the professionally produced video and photo content in a timely manner.

Payment Medlink Georgia agreed to pay Versatile Impact, LLC zero dollars for 7 months after May 2023.

Video and Photo will begin on January 1st, 2023. A invoice will be sent to Medlink Georgia on January 1st, 2023

Term: Versatile Impact, LLC and Medlink Georgia agree that this Contract shall begin on January 1st, 2023.

WORD PRODUCT OWNERSHIP: Any copyrightable works, ideas, discoveries, product, or other information (collectively, the “Work Product”) developed in whole or in part by Versatile Impact, LLC in connection with the services will be the property of Medlink Georgia. Versatile Impact, LLC will get permission of Medlink Georgia content for promotional use before posting content on social media.

Courtesy: The video and photo package and schedule and selected methodology are designed to accomplish the goals and wishes of Medlink Georgia. Medlink Georgia and Versatile Impact, LLC agree that positive cooperation and punctuality are therefore essential.

Warranty: Versatile Impact, LLC shall meet Medlink Georgia obligation under this contract in a timely and workmanlike manner, using knowledge and recommendation for performing the services which meet generally acceptable standards in Versatile Impact, LLC community region, and will provide a standard of care equal to, superior to, care used by service provides similar to Versatile Impact, LLC projects.

Default: The occurrence of any of the following shall constitute a material default under this contract.

The failure to make a required payment when due
The insolvency or bankruptcy of either party
The failure to make available or deliver the Services in the time of manner provided for in this contract.

Mutual Protection Termination Either party hereto may terminate this agreement if either party is not cooperating and/or meeting the expectation of the contract between Medlink Georgia and Versatile Impact, LLC, upon at least thirty (30) days written/verbal notice, effective at the end of the notice period. If payment is prepaid in full and medlink wants to terminate the agreement because Versatile Impact, LLC is not cooperating and/or meeting the expectations of the contract between Medlink Georgia and Versatile Impact, LLC; Versatile Impact, LLC will pay back 25 percent within a 24 month time frame if the contract is terminated by Medlink Georgia within 6 to 8 months of the contract between Medlink Georgia and Versatile Impact, LLC. Versatile Impact will pay back 50 percent of what was paid if the contract is terminated by Medlink Georgia within 1 to 5 months of the contract between Medlink Georgia and Versatile Impact, LLC.

Notice: Any notice or communication required or permitted under this contract shall be sufficiently given if delivered in person or by email, return receipt requested or to such other address as one party may have furnished to the other in writing. Assignment neither party may assign or transfer this contract without the prior written consent of the non-assigning party, whose approval shall not be unreasonably withheld.
